PROCEEDINGS. 



The fifty-second annual meeting of the stockholders of the 
Atlantic & North Carolina Railroad Company was held at the 
company's offices in Newhern, N. C, on September 27, 1906. 
The meeting was called to order by President J. W. Grainger, 
who nominated T. A. Green as temporary chairman, with W. L. 
Arendell and J. S. Colton, as secretaries. 

The Proxy Committee reported 4,69 3 shares of private 
stock represented either in person or by proxy, casting 97 4 
votes, and 12,666 shares belonging to the State and casting 350 
votes. The State's stock was represented by State's Proxy 
T. D. Warren. This made a total of 17,359 shares, casting 
1,324 votes. 

On motion of T. D. Warren the temporary organization 
was made permanent. The report of President J. W. Graing.er 
was read and approved. On motion of C. E. Foy the reading of 
the reports of the officers was dispensed with. 

The following directors on the part of the State were an- 
nounced: J. W. Grainger, C. M. Busbee, W. H. Bagley, L. P. 
Tapp, L. G. Daniels, W. D. Creech, D. B. Hooker, and W. S. 
Chadwick. 

The following electors were unanimously elected by the 
private stockholders: Henry Weil, C.'E. Foy, Dempsey Wood, 
and E. C. Duncan. 

The following were unanimously elected as Finance Com- 
mittee: Geo. H. Roberts, T. A. Green, R. G. Hodges, J. A. 
Meadows, R. W. Taylor, and L. Harvey. 

The following Proxy Committee was nominated by L. 
Harvey: H. R. Bryan, Jr., D. Oettinger, J. C. Parker, Dr. H. 
Tull, Simeon Wooten, and W. L. Arendell. These were elected 
on the first ballot. On a stock vote Mr. T. D. Hewitt received 
734 votes and was declared elected a member of the committee. 

The following resolution presented by E. C. Duncan, was 
adopted: 

"Resolved, That No. 1 of the by-laws of the company be 
amended by striking out the words 'fourth Thursday in Sep- 
tember' and the by-law be made to read as follows: 

No. 1 — The general annual meeting of the stockholders 
shall be held on the second Thursday in August in each and 
every year, until otherwise ordered. 

On motion the fifty-third annual meeting will be held in 
the town of Beaufort on the second Thursday of August, 1907. 
The meeting then adjourned.

PRESIDENT'S REPORT. 



Newbern, N. C, Sept. 27, 1906. 
To the Stockholders of the Atlantic & North Carolina R. R. Co.: 

Gentlemen: — We herewith submit to you the 52nd annual 
report of your company for the fiscal year ending Sept. 1, 190 6, 
which is the second year under the lease to the Howland Im- 
provement Company, now being operated and known as the 
Atlantic & North Carolina Company. 

In our last report we called your attention to the large 
number of unsettled claims against the road. Nearly all these 
claims have been adjusted and settled. Only a few claims are 
left, and these will be settled as early as practicable. How- 
ever we have still pending two suits of some importance and 
we have employed able counsel to look after these cases. 

The lessee of your company has paid all rentals as per con- 
tract under the lease, as they became due. And the directors 
of your corporation have disbursed th e rentals in dividends 
to the stockholders, except such amount as the directors deem- 
ed it expedient to retain in the treasury to meet such claims 
or suits as are now pending in the courts. 

Under the lease the lessee agreed to expend and apply or 
cause to be expended for the permanent betterment of the 
roadbed, terminal facilities and the equipment of your property 
the sum of $250,000 within three years from date of lease. 
Taking into consideration the time which has elapsed since 
the lease and the amount of money expended, I feel satisfied 
that this clause will have been complied with at the end of 
the designated period. 

The lessee has paid into our treasury as per contract, all 
interest accruing on the bonded debt of your company, and 
has deposited in the Wachovia Loan & Trust Company, of Wins- 
ton-Salem, North Carolina, six per cent coupon bonds amount- 
ing to $100,000 for the faithful performance of their agree- 
ments under the lease. This deposit, has been passed upon 
and accepted by the directors of your company. 

I beg to call your attention to the reports of the expert, 
treasurer, and auditor, herewith attached, setting forth in de- 
tail a full statement of receipts, disbursements, and other mat- 
ters of interest connected with your company.

Second annual report of experts appointed to examine 
Atlantic & North Carolina Railroad for the year ending Sep- 
tember 1st, 1906:

Gentlemen: — We have to report that we have completed the 
second annual examination of the Atlantic & North Carolina 
Railroad, extending from Goldsboro to Morehead City, North 
Carolina, and beg to submit the following: 

We find that the track has been much improved since our 
last report. About sixteen miles (1,571 tons) of new rails 
have been laid; 28,852 new cross ties have been put in the 
main line track; considerable ballasting has been done; two 
new steel bridges have been erected; and necessary repairs to 
trestles, etc., have been made. 

We find that new stations have been erected at Kinston, 
Dover and Morehead City. The local freight depot at Goldsboro 
nas been raised, thoroughly overhauled and repainted. Stations 
at Havelock, Croatan and Riverdale, and Pier No. 1, Morehead 
City,, have been painted. A new coal hoist has been erected 
at Newbern. All other stations and buildings appear to have 
received necessary attention in the way of repairs. 

All engines and cars have been kept up to standard, and 
all machinery is in good condition. 

We show below, in detail, the more important betterments 
and improvements, together with cost of same, viz.: —
